My 98 vfr has no functioning odometer, and an estimated 185,000km on it based on what the previous owner has told me. I have the option to replace the bike, or upgrade it (fork internals, rear shock, seat re-do, scottoiler, smoked LED tail/front signals etc).

Should I drop all that $$ on the VFR, or upgrade? Was possibly looking at getting a Triumph sprint ST, Speed Triple, or something like that. Maybe another 5th gen, opinions?

Hard to say, what's the general condition like. It's got over 100,000 miles on it (how many of those are yours?) and is almost 15 years old. If you have the know-how, time and money to fix it if something major goes wrong, keep it. Otherwise think about replacing it.

5-6000km of it are mine, did a 1900km trip on it (3 days).

Edit: General condition of the bike:

Faring cracks in a few spots, prev owner laid it down (I replaced the stator cover + stator was dead) has the FH12 mosfet R/R and a ricks stator recently. Full spiegler line kit, CL pads with under 2100km on them, semi-new dunlop roadsmart 2 rear tire.

Bike would be kept as a 2nd rider most likely, but not fixed up like mentioned.

Well I have decided to just keep the VFR and make her nice :)

What should get looked at around this mileage, valves? Aside from that looking to get springs, valves, adjustable caps in the forks, and a 929 shock with mid grade revalve from Daugherty Motorsports.
